However, disclosing allows a competitor to imitate, and so this may mean for the rights holder that it loses the competitive advantage it had gained through years of research and significant investment. On the other hand, some information is not protectable by any intellectual property right (<i>a commercial strategy, the result of a marketing study, etc.<\/i>), although they have real value.<\/span><\/p>\n<p class=\"p2\"><span class=\"s1\">To protect the \u201ccapacity to innovate\u201d of the economic actors, by June 9, 2018, France will have legislation protecting the <\/span><span class=\"s2\"><b>business secret<\/b><\/span><span class=\"s1\">. After three unsuccessful French attempts to <\/span><span class=\"s2\"><b>combat economic and industrial espionage<\/b><\/span><span class=\"s1\">, it was the European Union that gave the impetus for such protection in 2016, by adopting the\u00a0<a href=\"https:\/\/eur-lex.europa.eu\/legal-content\/FR\/TXT\/HTML\/?uri=CELEX:32016L0943&amp;from=FR\"><span class=\"s3\">Business Secrets Directive<\/span><\/a>. If this protection appears in French law in such a late stage, this is due because the very concept of business secrecy is particularly difficult to define. The Directive has the advantage of giving a definition which will be harmonized for all the Member States of the European Union. Information falling within the scope of the business secret must meet\u00a0<\/span><span class=\"s2\"><b>three criteria<\/b><\/span><span class=\"s1\">.<\/span><\/p>\n<h2 class=\"p4\"><span class=\"s4\">SECRET INFORMATION<\/span><\/h2>\n<p class=\"p1\"><span class=\"s1\">The information is not public nor easily accessible. Either it is a single piece of information which is secret, or it is a compilation of a series of information which is not necessarily confidential. It is then the intellectual effort of collecting and sorting information that will be protected.<\/span><\/p>\n<p class=\"p2\"><span class=\"s1\"><i>For example, a company that conducts a study to establish itself in a geographic area and collects public data on the area, will see the assembly of this information protected by business secrecy.<\/i><\/span><\/p>\n<h2 class=\"p5\"><span class=\"s4\">INFORMATION WITH VALUE<\/span><\/h2>\n<p class=\"p2\"><span class=\"s1\">This information must then have a \u201ccommercial value\u201d, which is the case when <\/span><span class=\"s2\"><b>one is ready to pay to have access to it<\/b><\/span><span class=\"s1\">.<\/span><\/p>\n<h2 class=\"p5\"><span class=\"s4\">PROTECTED INFORMATION<\/span><\/h2>\n<p class=\"p2\"><span class=\"s1\">Finally, whoever controls the information must have taken the appropriate <\/span><span class=\"s2\"><b>measures to keep it secret<\/b><\/span><span class=\"s1\">.
